Board of Directors Job Description
Board Members shall serve on the Board of Directors with duties as prescribed in Article VII, Section 5, A of the PTWA Bylaws.

The Board of Directors shall:
§ Carry out the mandates and policies of the Chapter as determined by the membership, in accordance with the policies and procedures set forth in these bylaws.
§ Have full power and complete authority to transact all business for and on behalf of the Chapter subject to the provisions of Chapter and Association bylaws, and all resolution and enactments of the membership except for duties specifically retained by the membership.
§ Appoint special committees and task forces and may direct their activities or act as liaison. 
§ Bring before the membership at any regular or special meeting, or by correspondence, communications from the Association for information, discussion, and/or vote.
§ Make an annual report to the PTWA membership in the August Newsletter.
§ Bring before the membership at any regular or special meeting, or by correspondence, actions of the Board of Directors for information, discussion, and/or vote.
§ Develop and maintain a Chapter policy and procedure manual.
§ Carry out policies and procedures as outlined in the Chapter policy and procedure manual.
§ Work with Committees/Task Forces and/or Districts under their supervision to help identify replacement Chairs (and members, where appropriate) in a timely manner and bring to the Board for final approval when appropriate.
§ Appoint Standing Committee, Task Force and Advisory Board Chairs, except for that of the Nominating Committee.
§ Appoint a three (3) person committee prior to the legislative session, composed of the Legislative Committee Chair and any two of the following: President, Vice-President, President-Elect, Secretary, or Treasurer, who may make compromise changes in emergency situations when legislation is in jeopardy.
§ Prepare a list of recommended candidates for appointment to the Department of Health PT Licensing Board.  This list may include both Chapter members and nonmembers.  The approved list will be submitted to the Governor of the State of Washington for consideration for appointment to the PT Licensing Board.
§ Submit PTWA’s endorsement of nominees to National Office, Committees and  Task Forces, to involve at minimum, the Chief Delegate and President.
§ Ensure, prior to rendering a decision on a proposal that may affect the schedules, activities, or duties of another PTWA committee, subcommittee, or staff, that a representative of each affected party is informed of the proposal under consideration in order to discuss and evaluate its impact on them.

Facilitate communication to and from constituents and the Board of Directors:
§ Make contact with constituents prior to each Board meeting, to obtain input on agenda items and bring new issues before the Board.
§ Bring issues to the Board agenda by 2 1/2 weeks prior to each meeting.  Items need to be framed in the form of a motion or action item.  Include any appropriate background information for the Board packets so that the Board can make informed decisions.
§ Convey results of the Board meeting to constituents.
§ Oversee and direct the activities of constituents between Board meetings, including facilitating articles for the newsletter when appropriate.  This may include but not be limited to attending SIG or District meetings, email or phone communication, advising Task Forces, etc.
§ Attend all of the Board and Chapter meetings each year.  If special circumstances force a Board Member to miss a meeting, permission must be obtained for the President ahead of time.

Miscellaneous:
§ Board members may not concurrently be members of the Licensing Board.
§ There shall be no Board Meetings scheduled in August.
§ Board Members may receive one additional Directory each year at not cost.
§ Board Members may receive half off the cost of one PTWA conference per year for the Board Member’s use only.
 


President
(President-Elect assumes role after one year)
§ Carries out the business of the Association as directed by the membership.
§ Maintains the ethical, financial and legal viability of the Association.
§
Makes an annual report to the APTA.
§ Reports to the APTA any member not in good standing in the Chapter.
§ Serves as Chair of the Board of Directors.  As Chair, assures that Board members are fulfilling their duties.
§ Presides at all meetings of the Association and of the Board of Directors
§ Prepares the Agenda for Board and Chapter meetings in conjunction with the Chapter Executive.
§ Serves as official spokesperson for the Association.
§ Prepares and presents a Presidential report to the membership at each Chapter Business Meeting.
§ Contributes a minimum of five newsletter articles each year.
§ Serves as the immediate supervisor of the Chapter Executive.
§ Serves as the Board Liaison to the Ethics Committee.
§ Serves as Chair of the Personnel Committee.
 


President-Elect
(Fall 2006 ballot)
§ Works closely with the President as special assistant on state and national affairs.
§ Becomes familiar with the job of President.
§ Officiates for the President when requested to do so or as provided for in the bylaws.
§ Serves as a member of the Board of Directors (nonvoting).
§ Serves on the Personnel Committee.
§ Attends at least one of the following: Presidents meeting at CSM, Presidents meeting at National, APTA Component Leadership Forum, or APTA Government Affairs Forum.
§ Performs a review of Chapter Policies and Procedures.
 


Vice President
(Fall 2006 ballot)
§
Acts as President in his/her absence  or when the President is not available.
§
Facilitates and coordinates the annual leadership training.
§
Serves on the Personnel Committee.
§
Coordinates the annual awards for outgoing leaders, and writes an article on the award recipients for the newsletter and web.
§
Manages the volunteer list.
 


Secretary
(Fall 2006 ballot)
§ Maintains the legal records of all Board and Chapter meetings of the PTWA.  Submits minutes from said meetings to the PTWA office within two weeks of each meeting.
§ Acts as the liaison from the Board to the Archivist and the Nominating Committee.
§ Submits an article to the newsletter after each Board Meeting.
 


Treasurer
(Fall 2005 ballot)
§ Provides a realistic profile of the financial needs of the Chapter and achieves a balanced budget in conjunction with the Chapter Executive and Finance Committee.
§ Maintains the financial accountability of the Chapter.
§ Develops and maintains an accurate and ongoing yearly budget.
§ Leads the Finance Committee as Chair.
§ Produces a yearly budget in conjunction with the Chapter Executive and Finance Committee.
§ Monitors on an ongoing basis, reviews, and reallocates investments in accordance with the needs of the Chapter.
§ Sets up future budget meetings as indicated by Chapter Policies and Procedures.
§ Presents final yearly budget for approval to the Board of Directors.
§ Keeps Chapter members informed of each year’s annual budget.
§ Serves on the Personnel Committee when there is no President-Elect.
 


Professional Enhancement Panel Director
(Fall 2005 ballot)
§ Acts as the liaison between the staff/Board and the Education Committee and the Editorial Advisory Committee.
§ Represents the interests of the Education Committee and the Editorial Advisory Committee to the Board of Directors.
§ Assists PTWA staff with the Video Library as needed.
§ Supports research activities.
 


SIG Panel Director
(Fall 2006 ballot)
§ Acts as the liaison between the staff/Board and the Special Interest Groups.
§ Represents the interests of the SIGs to the Board.
§ Assists the Student Board Liaison as needed.
 


Practice Panel Director
(Fall 2006 ballot)
§ Acts as the liaison between the staff/Board and the Reimbursement and Legislative Committees.
§ Represents the interests of the Reimbursement and Legislative Committees to the Board of Directors.
§ Assists the Licensing Board, Public Schools, and L&I liaisons as needed.
§ Works with the Legislative Committee to supervise and liaison with the lobbyists.
 


At-Large Directors
(Eastern - Fall 2005 ballot; Western - Fall 2006 ballot)
§ Act as the liaison between the staff/Board and the Eastern or Western Washington members.
§ Represent the interests of the Districts under his or her jurisdiction to the Board.
§ Promote and facilitate increased membership participation in APTA/PTWA issues and activities.
§ Provide for annual meeting with the applicable teaching staff and students at each state PT and PTA school to inform them of the importance of professionalism and membership of themselves and the students in the APTA/PTWA.
 


Chief Delegate
(Fall 2005 ballot)
Qualifications

Shall have been an Active Association member for no fewer than two years immediately preceding the start of the House of Delegates.
Duties
§ Shall attend the annual and special meetings of the Association House of Delegates.
§ Shall carry on the official correspondence of the Chapter with the House of Delegates.
§ Shall present to the House of Delegates such matters as are ordered by the Chapter Board of Directors and/or membership.
§ Shall vote at the meetings of the House of Delegates or on voting sheets in accordance with instructions and/or policies of the Chapter, and shall be responsible for the Chapter's total voting delegation.
§ Shall submit a written report to the Chapter following the annual House of Delegates meeting.
§ Shall present all materials from the House of Delgeates to the Chapter Board of Directors and Chapter for their discussion opinion, and/or vote.
Delegate
(Five, plus two alternates, elected each year)
Qualifications
Shall have been an Active Association member for no fewer than two years immediately preceding the start of the House of Delegates.
Duties
§ Shall represent the Chapter on such matters as are ordered by the Chapter Board of Directors or membership and vote by voice or ballot in accordance with instructions from the Chapter.
§ Shall attend all sessions of the House of Delegates and other meetings as determined by the Chief Delegate.
PTA Caucus Representative
(Fall 2005 ballot)
Qualifications
Shall meet the qualifications as stated in the bylaws of the National Assembly of Physical Therapist Assistants.
Duties
§ Shall represent the Chapter Affiliate members on such matters as may come before the National Assembly.
§ Shall attend all sessions of the Representative Body of the National Assembly.
Nominating Committee
(One of three elected each year)
Qualifications
Shall have been an Active, Retired Active, Life, Affiliate, Retired Affiliate or Life Affiliate member of the Association for one year and a member of the Chapter for six months immediately preceding assumption of office.

Term of Office
One member shall be elected each year at the Fall Chapter Meeting and shall serve a three-year term or until the election of their successor. The chair shall be the person serving the second year of a three-year term.

Duties
§ Shall prepare a slate of one or more candidates for all elected positions to be voted on at the annual Fall Chapter Meeting
§ Shall obtain consent of nominees to serve prior to the election.
Shall prepare a slate of candidates for other needs of the Chapter upon the request of the Board of Directors or the membership.
